Organizer Agreement

Please read this agreement before publishing an event. It covers your listing obligations, platform fees, payouts and verification, refunds and chargebacks, attendee data, and the limits of TicketSpark's role.
1. Parties and role of the platform
This Organizer Agreement ("Agreement") is entered into between you (the "Organizer"), the buyers who purchase tickets to your events ("Buyers"), and TicketSpark (the "Platform"). You must accept this Agreement before publishing an event or selling tickets.
TicketSpark provides ticketing, checkout, ticket delivery, check-in and payment facilitation services. TicketSpark does not produce, promote, host, insure or control your event. You sell directly to Buyers and are the seller of record for the event experience.
2. Your event listing
You represent that all listing content — title, description, date, time, timezone, venue, capacity, ticket types, prices and images — is accurate, current and not misleading, and that you hold all rights needed to use the content you upload.
You are responsible for permits, licenses, insurance, venue contracts, performer agreements, accessibility, health and safety obligations and any age restrictions applicable to your event.
Prohibited listings include unlawful events, events promoting hate or violence, fraudulent or non-existent events, speculative ticket sales for events you do not control, and any activity that violates card network rules or applicable law. TicketSpark may unpublish an event or suspend an account that violates this section.
3. Pricing, platform fees and taxes
You set your ticket prices, including free and pay-what-you-want tiers. TicketSpark charges a service fee and a payment processing fee on paid orders, disclosed in the product and on your dashboard before you publish. By default these fees are added to the Buyer's total.
Platform fees are earned when an order is fulfilled and are non-refundable, except where TicketSpark states otherwise or where the event is cancelled and refunds are issued in full.
You are solely responsible for determining, collecting and remitting any sales, entertainment, amusement, VAT or other taxes applicable to your ticket sales, and for any income reporting related to your payouts.
4. Payouts and verification
Payouts for paid events are processed through our payments partner. You must complete identity and bank verification before publishing paid or pay-what-you-want tickets. Free events and RSVP-only events do not require verification.
Payouts are made to the verified account you supply, net of platform fees, refunds, chargebacks and any amounts you owe the Platform. Payout timing follows the payment partner's standard settlement schedule and may be delayed for risk, verification or compliance review.
TicketSpark may place a reserve, hold or delay on funds where there is elevated risk of cancellation, fraud, excessive refunds or chargebacks.
5. Refunds, cancellations and buyer obligations
You must publish and honor a clear refund policy. If you cancel an event, or fail to deliver it substantially as advertised, you must refund Buyers the full ticket face value promptly.
You authorize TicketSpark to issue refunds to Buyers on your behalf where required by this Agreement, by law, or by card network rules, and to recover those amounts from your pending or future payouts, or by direct debit or invoice if payouts are insufficient.
You are financially responsible for all chargebacks on your events, including associated fees. You agree to cooperate promptly with evidence requests when TicketSpark contests a chargeback for you.
6. Attendee data and privacy
TicketSpark shares Buyer names, email addresses, order contents and check-in status with you so you can deliver the event. You are an independent controller of that data and must handle it lawfully, keep it secure, use it only for delivering the event and legitimate follow-up permitted by law, and honor deletion and opt-out requests.
You may not sell, rent or transfer attendee data to third parties, or add attendees to unrelated marketing lists without valid consent.
7. Check-in access and staff
You are responsible for anyone you grant door or scanning access to, including staff who use a door PIN. Keep access credentials confidential, rotate or revoke them when staff change, and ensure scanning is performed only by authorized personnel.
8. Indemnity and limitation of liability
You will indemnify and hold harmless TicketSpark and its personnel from claims, damages, penalties and expenses arising from your event, your listings, your use of attendee data, your tax obligations, or your breach of this Agreement.
To the fullest extent permitted by law, TicketSpark's total liability to you is limited to the platform fees TicketSpark retained on your orders in the three months preceding the claim. TicketSpark is not liable for lost profits, lost sales or indirect or consequential damages.
9. Suspension, termination and changes
Either party may end this Agreement at any time. You must still deliver or refund all tickets already sold. TicketSpark may suspend an account or withhold payouts where it reasonably suspects fraud, illegality, non-delivery or material breach.
TicketSpark may update this Agreement; the version you accepted governs events published under it, and continued selling constitutes acceptance of the current version.
